Terms of Service

1. Introduction

These Terms of Service govern your use of the OrbitFlow website and the services provided by OrbitFlow Digital Solutions Ltd ("we", "us", or "our"). By engaging our services, you agree to be bound by these terms.

2. Services Provided

OrbitFlow provides digital solutions including, but not limited to, website development, AI chatbot integration, AI voice receptionist setup, WhatsApp automation, and custom workflow automation. The specific scope of work will be defined in a separate proposal or statement of work provided to the client.

3. Pricing and Payments

  • Fixed Pricing: All development and setup work is billed as a one-time fixed fee as outlined in our pricing plans or custom proposals.
  • Payment Terms: Invoices are due within 7 days of the invoice date unless otherwise specified in writing.
  • Maintenance: Optional monthly maintenance and hosting plans are billed on the 1st of each month.

4. Intellectual Property

Upon receipt of full payment for the project, the intellectual property rights for the completed deliverables (e.g., custom code, website assets) transfer to the client. OrbitFlow retains the right to use the project deliverables in our portfolio and marketing materials unless a non-disclosure agreement (NDA) is signed.

We retain ownership of any pre-existing code, libraries, or AI prompt architectures used to deliver the project.

5. Cancellations and Termination

  • Project Cancellation: If a project is cancelled by the client after work has commenced, OrbitFlow will retain the initial deposit and bill for any additional work completed up to the cancellation date.
  • Maintenance Cancellation: Monthly maintenance contracts require a 30-day written notice for cancellation.

6. Limitation of Liability

OrbitFlow Digital Solutions Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services or any AI-generated outputs. Our total liability in any matter related to a specific project shall not exceed the total fees paid by the client for that project.

7. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
